1. Agreement
By engaging PV Colab ("Agency") for any service, or by using our website or client portal, you ("Client") agree to these Terms. A project-specific proposal, quotation or statement of work ("SOW") forms part of these Terms and prevails where it conflicts.
2. Services & scope
The scope, deliverables, timeline and price for each project are defined in the SOW. Work outside the agreed scope is a change request and will be quoted separately before it is carried out.
3. Client responsibilities
- Provide content, brand assets, access credentials and feedback on time through the client portal.
- Ensure you own or have licences for all material you supply, and that it is lawful.
- Nominate one decision-maker for approvals.
Delays in providing materials or feedback extend the timeline accordingly.
4. Fees & payment
- Unless the SOW states otherwise: 40% advance to book the slot, remaining payments per milestone, and the final balance before handover or go-live.
- Invoices are payable within 7 days. Prices are exclusive of GST, which is added where applicable.
- Late payments may pause work. Third-party costs (domains, hosting, ad spend, paid plugins, app store fees) are billed at cost or paid directly by the Client.
5. Revisions
Each deliverable includes the number of revision rounds stated in the SOW (design services: 2 rounds by default). Additional rounds are billable.
6. Intellectual property
On full payment, ownership of the final deliverables created specifically for the Client transfers to the Client. The Agency retains ownership of its pre-existing tools, libraries and know-how, and grants the Client a perpetual licence to use them as part of the deliverable. Open-source components remain under their own licences.
7. Portfolio
Unless agreed otherwise in writing, the Agency may display non-confidential work and the Client's name/logo in its portfolio. Testimonials are published only with the Client's approval.
8. Confidentiality
Both parties keep each other's confidential information private and use it only for the project. NDAs are available on request.
9. Security audits
Security testing is performed only on systems the Client owns or is authorised to test, within the written scope and time window. Findings are confidential and shared only with the Client.
10. Warranties & support
We fix defects in our deliverables reported within 30 days of delivery at no charge. Ongoing maintenance, hosting and support are available as separate plans. We do not guarantee specific search rankings, ad results, follower counts or revenue, as these depend on factors outside our control.
11. Limitation of liability
To the maximum extent permitted by law, the Agency's total liability for any claim is limited to the fees paid for the specific project in the 3 months preceding the claim. Neither party is liable for indirect or consequential losses.
12. Termination
Either party may terminate with 14 days' written notice. The Client pays for work completed up to termination; advances are non-refundable to the extent work has been performed.
13. Client portal
Portal credentials are personal. Keep them confidential and notify us of any unauthorised use. We may suspend access for security reasons or non-payment.
14. Governing law
These Terms are governed by the laws of India. Courts of Andhra Pradesh shall have exclusive jurisdiction.
